Corporate Books: Minutes and members

Digitise your annual obligations with the submission of business books!

All companies registered in the Spanish Mercantile Registers have a series of annual obligations, one of which is to file the mercantile books (Minute Book and Shareholders’ Book) with the Mercantile Register where they are registered.

Until 2013, this process was carried out on paper, with the legalisation of blank books that were filled in over time. However, since that year, it has been mandatory to submit these books in digital format. Each financial year, companies must submit the minutes and any changes of partners that have occurred, using a programme provided by the Association of Registrars and paying the corresponding fee.

It is important to note that the deadline for filing these books with the Commercial Registry is within four months of the end of the financial year. If the financial year coincides with the calendar year, the deadline is 30 April.

At our firm, we are here to help you with the preparation and filing of your business books. Our specialist team can guide you through this process, ensuring that you comply with all current regulations and avoid potential penalties for non-compliance.
